Bylaws of the Amateur Soccer Association Idaho
- Organization name and goals

- The name of the association shall be Amateur Soccer Association Idaho, known as ASAI.
- It shall be the objective of ASAI to foster, promote, and advance the cause of adult soccer and guard the interests of its leagues, teams and players.
- ASAI will provide cost efficient soccer competition to adult players in Idaho in an environment which:
i. Provides an equal opportunity for all adult soccer players.
ii. Develops good character and sportsmanship.
iii. Provides for the advancement and development of soccer officials.
iv. Emphasizes the Spirit of the Laws as well and the Letter of the Laws of the Game.

- ASAI shall be a non-profit, educational, recreational organization and shall have no salaries paid to its officers, committee members, or Board of Directors for the performance of their duties. Members of the BOD may be reimbursed for expenses incurred on behalf of the association provided that such reimbursement is approved in advance by a majority vote of the BOD.
- The finances of the ASAI, including fees, disbursements, investments and all other monies, shall be made available to the members, and the general public, in the form of a document which may be obtained on the internet, e-mail, or US mail upon request. This document will be updated quarterly.
- The assets of the ASAI in case of dissolution shall be turned over to the Hodia Idaho Diabetes Youth Programs Inc.
- Administration

- The officers of the Board of Directors (BOD) shall be elected by majority vote of the BOD at the Annual General Meeting (AGM) and hold office for two years. Two officers will be elected at each AGM. The president and secretary will be elected in every even year. The vice president and treasurer will be elected in every odd year.
- Officers may hold a single board position for a maximum of six (6) years. Exception shall be made at the discretion of the BOD.
- The AGM shall be held in January of each year at a time and place made known to the membership.
- Membership

- The membership of the association shall consist of all officers, players, coaches, and referees who participate in each league sponsored by the ASAI and who are members of USSF (referees) and US Club Soccer (players, coaches and officers) and who hold current registration with their respective national organizations.
- All members are entitled to attend the AGM.
- BOD Officers

- The officers and the BOD shall consist of: a president, vice president, treasurer and secretary. In addition the elected representative of each league sponsored by ASAI shall be a member of the board.
- These officers shall constitute the BOD. No person shall be elected to more that one office concurrently.
- The previous ASAI president, once replaced, shall serve as an ex-officio board member (non-voting) to provide administrative continuity.
- No member of the BOD or any officer of a league sponsored by the ASAI or any member may be given ‘lifetime’ membership, status, privilege or recognition.
- Duties of the President

- The president shall act as chairperson of all BOD meetings and the AGM.
- The president shall be responsible for coordinating activities of ASAI, promoting adult soccer as a whole, and perform general administrative duties concerning ASAI.
- The president shall cast a deciding vote at BOD, special, and annual meetings and in the case of a tie vote and shall have one vote at the election of officers.
- The president shall act as the chairperson on the League Formation Committee
- The president shall not initiate motions before the BOD or any other association meeting.
- The president shall represent ASAI in all extra-association activities pertaining to ASAI and relate such activities to the BOD. The president may appoint delegates to represent his office.
- The president and/or an appointed delegate shall be the association liaison with US Club Soccer.
- Duties of the Vice President

- The vice-president shall assist the president in league matters and assume the duties of the office in the absence of the president. In case of resignation or inability of the president to conduct the duties of the office, the vice-president shall assume chairmanship, subject to the approval of the BOD at the earliest possible meeting.
- The vice-president shall act as the chairperson of the Sponsorship Committee.
- Duties of the Secretary

- The secretary shall record and prepare minutes of all BOD, general, special and annual meetings, for the review and approval by the BOD.
- The secretary shall distribute minutes of the previous BOD and other meetings prior to each subsequent meeting.
- The secretary shall keep the records of the league.
- The secretary shall be responsible for relating with news media and external, non-association organizations regarding the promotion of the aims and goals of ASAI and the fraternization of the association with such organizations.
- Duties of the Treasurer

- The treasurer shall collect all fees and have charge of all monies of ASAI, and shall compile an annual budget for BOD approval and shall keep a detailed account of receipts and disbursements.
- The treasurer shall submit a quarterly report of finances and shall pay all bills properly passed and approved by the BOD.
- The treasurer shall sign all checks which must be countersigned by other approved BOD members.
- The treasurer shall be responsible for filing all government-required forms.
- The treasurer shall annually seek an outside, independent, audit of all financial books and statements of the ASAI. This independent auditor shall report directly to the BOD.
- Duties of the League Representative(s)

- The league representative shall attend every BOD meeting and report on the activities of the league.
- The league representative shall bring proposed league rule changes to the BOD for approval. No league rules may be changed without the approval of the BOD.
- The league representative shall be responsible for acquiring personnel required for the smooth and efficient operation of the league. These personnel include: league manager, referee assignor and player registrar. The personnel proposed by the league representative must be approved by the BOD. All fees and contracts related to these personnel must be approved by the BOD.
- The league representative shall report all disciplinary matters to the BOD. Any disciplinary issue not covered in the league rules must be referred to the BOD for resolution.
- The league representative shall bring all appeals arising from league discipline to the BOD for resolution.
- The league representative will report at the start of league play the number of teams and players in the league, and any other league information required by the BOD.
- The league representative will act as liaison between the BOD and the league manager, assignor and registrar.
- Powers of Direction

- The BOD shall transact all business of ASAI and shall have the power to enforce the Bylaws and all League Rules and Regulations.
- Specific powers of the BOD shall be as follows:
i. The BOD may amend these Bylaws: (1) at any regular or special meeting of the Board of Directors, or (2) whenever three quarters (3/4) of said Board of Directors shall deem it necessary as set forth in a written resolution.
ii. Any member of the BOD, or any committee duly organized by the BOD, may make a proposal to amend the Bylaws. Any such proposed amendment shall be submitted in writing to the President or Secretary of the association not less than thirty (30) days prior to a BOD meeting, or any regular or special meeting of the BOD, where the amendment is to be voted upon. Any proposed amendment to the Bylaws submitted pursuant to the provisions of this section must be approved by a three-quarters (3/4) vote of the BOD.
iii. To coordinate inter-league, State and National competitions with ASAI leagues.
iv. To designate the time and location of BOD meetings.
v. To act on instances which may occur during league play and which are not covered by specific league rules and regulations.
vi. To appoint committees and define the scope of their activities within the association Bylaws.
vii. Meetings of the BOD shall be held quarterly on a specific day which shall be known to the membership beforehand.
viii. Official business of the BOD shall be conducted when a quorum (a simple majority) of the board members is present.
ix. BOD members absenting themselves from three (3) successive meetings without just cause and prior notification shall have their office declared vacant at the discretion of the BOD. The vacant office may be filled by appointment by the BOD in the interim until the next regular BOD meeting when an election for the vacant office shall be held.
x. BOD members shall have no vote in matters where there is a conflict of interest, as defined by a majority vote of the BOD.
xi. Guests shall be granted the privilege of being present at meetings.
xii. The order of business at BOD meetings shall be as follows:
1. Meeting opens.
2. Roll call.
3. Recognition of guests and visitors.
4. Approval of minutes of the previous meeting.
5. Reading of the correspondence.
6. Committee reports.
7. League Representative(s) reports.
8. Treasurer’s report.
9. Approval of bills.
10. Unfinished business.
11. New business.
12. Miscellaneous announcements for the good of soccer.
13. Adjournment.
- Standing Committees
a. League Formation Committee.
i. The chair of the league formation committee shall be the ASAI president.
ii. The purpose of this committee is to develop soccer programs and leagues to serve adult soccer players who wish to play under the sponsorship of ASAI and US Club Soccer.
iii. The committee will work to develop soccer programs and leagues to meet the specific and unique needs of adult soccer players including, but not limited to, senior, handicapped, ethnic, co-educational, small-sided, and other forms of the game of soccer.
iv. Members of this committee shall be appointed by the committee chair. Committee members are not required to be members of ASAI.
b. Sponsorship Committee.
i. The chair of the sponsorship committee shall be the ASAI vice president.
ii. The purpose of this committee is to establish relationships with members of the business community with the intent of lowering the cost of membership of ASAI players through donations in any form.
iii. Members of this committee shall be appointed by the committee chair. Committee members are not required to be members of ASAI.
- Leagues
c. Leagues formed by the ASAI shall act as subsidiary organizations sponsored by the ASAI and shall be governed by the Bylaws of the ASAI and US Club Soccer.
d. When formed by the ASAI, each league will receive a set of rules and regulations under which the league must operate.
e. At the beginning of each seasonal year, as defined by the league rules and regulations, each league will hold a membership meeting. At this meeting the officers of the league shall be elected. League officers hold their positions until the beginning of the next seasonal year. There is no limit on the number of times a member can be elected to a league office. Voting for league officers shall be by secret ballot, having previously been nominated and seconded for a position by any league member in attendance. A representative of the BOD shall assist the league in conducting the election of league officers.
f. The officers of the league shall be: league representative (president), chair of the discipline committee and chair of the rules committee.
g. In addition, each team in the league shall independently elect a team representative who shall be a league officer.
h. The duties and responsibilities of all league officers shall be defined in the league rules and regulations provided by the ASAI.
i. League officers shall conduct meetings as outlined in the league rules and regulations at a time and place known to the league members.
j. League officers are responsible for the maintenance and distribution of league rules and regulations to its members. Each league may apply for modifications to the league rules and regulation through the league officers and the league representative.
The Amateur Soccer Association Idaho, under these Bylaws, is therefore created as a non profit organization according to the laws of the State of Idaho on this date, April 12th, 2009.
